Investment criteria

Confidentiality agreement

We refer to the purpose between us relating to investments and consulting services in the climate change and environment sector (the “Purpose”). In consideration of each of us agreeing to supply each other with information and documents whether orally, electronically, in writing, or by any other means, directly or indirectly, (“Confidential Information”) in order to enable us to proceed with the Purpose, we each hereby undertake and agree as follows: (1) We will keep the Confidential Information secret and confidential (whether it is supplied to us by you, by any third party on your behalf or otherwise). (2) We will not disclose any of the Confidential Information to any individual or third party other than to those of our and/or our group company’s directors, officers, employees, professional advisers or network of investors who reasonably need to know for the purposes of evaluating or advising on the Purpose. (3) We will treat all Confidential Information as being strictly private and confidential and will use all reasonable endeavours to prevent it from being disclosed to any third party (save as permitted by paragraph (2) above) for the duration of our discussions and thereafter unless and to the extent that the restrictions set out in this letter cease to apply under paragraph (9). (4) We will not make use of the Confidential Information other than for the purpose of evaluating whether or not to proceed with the Purpose. (5) If our relation to the Purpose terminate, upon on written demand, we shall forthwith return all Confidential Information to you without keeping any copies thereof and shall deliver up or destroy all notes or memoranda (and any copies thereof) prepared by us relating to the Confidential Information or the discussions and shall certify that all such information has been so delivered or destroyed. (6) We will procure that our and/or our group company’s directors, officers, employees and any professional advisers and investors network to whom disclosure of the Confidential Information is made are bound by the terms of this letter as if they were parties hereto and shall take all steps available to us to enforce such obligation of confidentiality. (8) We will promptly notify you in the event we are required to disclose any Confidential Information to a third party by reason of law or governmental or other regulation and will co-operate with you regarding the manner of such disclosure and any action which you may take to challenge the lawfulness of such requirement. (9) The restrictions set out in this letter as to Confidential Information do not apply to information which: (a) is public knowledge or is already known to us at the time of disclosure; or (b) subsequently becomes public knowledge other than by breach of this letter agreement; or (c) subsequently comes lawfully into our possession from a third party. (10) We agree that the delivery to us of the Confidential Information does not of itself constitute any representation or warranty as to the accuracy and completeness of that information and we acknowledge that we are responsible for making our own evaluation of such information. (11) This letter agreement shall be governed by, and construed in accordance with, English law.
